Terms & Conditions
If you are using the Platform on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms, and "you" refers to both you individually and that entity.
1 Nature of the Service
Logitality provides trade intelligence, import and export flow analysis, landed cost modelling, tariff data, HS code guidance, and AI-generated sourcing insights based on publicly available data and proprietary analytical models. The Platform is designed to support internal research and preliminary decision-making processes.
The Platform is intended for decision support only. It is not a trade compliance system, a customs filing tool, or a definitive source of tariff, regulatory, or legal information. All outputs are indicative and subject to the limitations described in these Terms.
2 No Professional Advice
Nothing on the Platform constitutes legal, customs, tax, financial, regulatory, or trade compliance advice. Logitality is not a licensed customs broker, freight forwarder, trade attorney, or financial adviser.
Users must consult qualified professionals — including licensed customs brokers, freight forwarders, trade attorneys, and tax advisers — before making any sourcing, import, export, or trade compliance decisions. The Platform is a starting point for research, not a substitute for professional judgement.
3 Data Sources & Limitations
Data displayed on the Platform is sourced from third-party providers including but not limited to:
- World Trade Organization (WTO) and World Integrated Trade Solution (WITS) tariff references
- UN Comtrade import and export trade flow data
- Public financial data providers for foreign exchange rates
- Other publicly available government and intergovernmental databases
Logitality does not independently verify all source data and is not responsible for errors, omissions, delays, or inaccuracies originating from third-party data providers. Data may be delayed, aggregated, rounded, or otherwise processed before display. Accuracy, completeness, and timeliness are not guaranteed.
Third-party data is subject to the terms and conditions of those respective providers. Logitality makes no warranty as to the continued availability of any third-party data source.
4 Indicative Tariffs, HS Codes & Landed Cost
All duty rates, import taxes, IGST, GST, VAT, freight estimates, insurance estimates, and landed cost calculations provided by the Platform are indicative only. They are based on publicly available tariff schedules and generalised assumptions and may not reflect:
- Product-specific HS8 or HS10 classification rulings
- Preferential tariff rates under applicable free trade agreements
- Anti-dumping, countervailing, or safeguard duties
- Country-of-origin determinations and rules of origin requirements
- Current regulatory changes, trade sanctions, or embargo restrictions
- Local port charges, customs handling fees, or agent fees
HS code suggestions provided by the Platform are for preliminary research purposes only and do not constitute customs classification advice. Customs classification is a legal determination that must be made by a qualified customs broker or freight forwarder with knowledge of the specific goods, their composition, intended use, and applicable regulatory context.
5 AI-Generated Insights
Some content on the Platform, including sourcing recommendations, market summaries, supplier insights, and cost commentary, is generated using artificial intelligence models. AI-generated content:
- Should be treated as guidance and a starting point for further research, not as a definitive recommendation
- May contain errors, hallucinations, or outdated information
- Does not reflect real-time market conditions unless explicitly stated
- Has not been reviewed or verified by a licensed professional
Users are responsible for independently verifying any AI-generated content before relying on it for any business decision.
6 User Responsibility
You agree to use the Platform solely as a research and decision-support tool. You are solely responsible for:
- Verifying all trade data, tariff rates, HS classifications, and cost estimates through official sources and qualified professionals before execution
- Ensuring your import and export activities comply with all applicable laws, regulations, customs requirements, and sanctions regimes in all relevant jurisdictions
- Obtaining any necessary licences, permits, or approvals required for your trade activities
- Evaluating the suitability of the Platform's outputs for your specific circumstances
It is your responsibility to ensure that your use of the Platform complies with all laws and regulations applicable in your jurisdiction, including trade laws, data protection laws, and any sector-specific regulations. Logitality makes no representation that the Platform is appropriate or available in all jurisdictions.
7 Eligibility & Account Security
You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use the Platform. By accessing the Platform, you represent and warrant that you meet these requirements.
If you create an account, you are responsible for maintaining the confidentiality of your login credentials and for all activities occurring under your account. You agree to notify us immediately of any suspected unauthorised use. Logitality is not liable for any loss arising from your failure to safeguard your credentials.
Each subscription is licensed to the named individual or organisation and may not be shared across multiple users or organisations without our express written consent. Account sharing, credential resale, or use by multiple unrelated parties under a single account is prohibited and may result in immediate termination.
We reserve the right to suspend or terminate any account that violates these Terms, engages in prohibited conduct, or poses a risk to the Platform or other users.
8 Subscriptions & Billing
Access to certain features of the Platform requires a paid subscription. By subscribing, you agree to the following:
Subscriptions are billed on a monthly or annual basis as selected at signup. Subscriptions automatically renew at the end of each billing period at the then-current price unless cancelled before the renewal date. By providing payment information, you authorise Logitality or its payment processors (including Stripe and Razorpay) to charge your payment method for each renewal period.
Report credits are allocated monthly based on your subscription tier and reset on your billing anniversary date. Unused credits expire at the end of each billing period and do not carry forward unless otherwise stated in your plan description. Viewing previously generated saved reports does not consume credits. Credits have no cash value and are non-transferable.
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will retain full access to the Platform until the end of the paid period. Cancellation does not entitle you to a refund of any fees already paid.
All fees are non-refundable except where required by applicable law. Logitality does not provide pro-rata refunds for partial billing periods or unused report credits. If you believe a charge was made in error, contact us within 30 days of the charge at the address in Section 20.
We reserve the right to modify subscription pricing at any time. We will provide at least 30 days' notice of any price change before it takes effect for existing subscribers. Your continued use of the Platform after a price change constitutes acceptance of the new pricing.
If a payment fails, we will attempt to process it for up to 7 days. If payment is not received within this period, your access may be suspended until payment is received. Logitality is not liable for any data loss or business interruption resulting from account suspension due to non-payment.
9 Intellectual Property
All content on the Platform — including but not limited to trade intelligence reports, landed cost models, AI-generated insights, corridor analyses, data compilations, graphics, software, user interface elements, and the overall structure and presentation of the Platform — is the exclusive property of Logitality or its licensors and is protected by copyright, trade secret, and other applicable intellectual property laws.
The trade intelligence methodology, landed cost modelling algorithms, AI insight generation processes, corridor scoring systems, and related analytical frameworks are proprietary trade secrets of Logitality. Nothing in these Terms or your use of the Platform grants you any right, title, or interest in or to any underlying methodology, algorithm, model, or analytical process.
You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform and its outputs for your own internal business research and decision-support purposes only. This licence does not permit you to:
- Reproduce, publish, distribute, or resell any Platform output or report
- Create derivative works based on Platform content or outputs
- Share reports or outputs outside your own organisation without our express written permission
- Use Platform outputs to train, develop, or improve any competing product or AI model
"Logitality" and related marks, names, and logos are trademarks of Logitality. Nothing in these Terms grants you any right to use our trademarks, logos, or brand features.
10 Acceptable Use
You agree not to use the Platform to:
- Scrape, crawl, spider, or systematically extract data by automated means without our express written consent
- Reverse engineer, decompile, or attempt to derive the source code, algorithms, or models underlying the Platform
- Access the Platform through automated scripts, bots, or other non-human means
- Interfere with or disrupt the integrity, performance, or security of the Platform or its infrastructure
- Circumvent any access control, rate limiting, or usage restriction measures
- Build or assist in building a product or service that competes with the Platform using data or outputs obtained from it
- Use the Platform in violation of any applicable law, regulation, or trade sanction
- Share your account credentials with any third party or allow any third party to access the Platform through your account
Logitality reserves the right to investigate and take appropriate action against any user who violates this section, including suspension or termination of access and pursuing available legal remedies.
11 Availability & Modifications
We may modify, update, suspend, or discontinue the Platform — or any feature, data source, or model thereof — at any time, with or without notice. We do not guarantee uninterrupted, error-free, or continuous access to the Platform. Logitality will not be liable to you or any third party for any modification, suspension, or discontinuation of the Platform or any part of it.

- Customs penalties, misclassification fines, or regulatory sanctions
- Shipment delays, seizures, or confiscations
- Sourcing losses, contract losses, or procurement failures
- Lost profits, lost revenue, or lost business opportunities
- Business interruption or supply chain disruption
- Data loss or system damage
Some jurisdictions do not allow the exclusion or limitation of certain types of damages. To the extent such exclusions or limitations are not permitted in your jurisdiction, they apply only to the maximum extent permitted by applicable law.
14 Indemnification
You agree to indemnify, defend, and hold harmless Logitality and its owners, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- Your use of or reliance on the Platform
- Your violation of these Terms
- Your violation of any applicable law, regulation, customs requirement, or trade sanction
- Any import, export, or sourcing decision you make based on information obtained from the Platform
- Any third-party claim arising from your use of Platform outputs
15 Privacy & Data
Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection, processing, and use of your information as described in the Privacy Policy.
Logitality collects and processes user account data, usage data, and payment information in accordance with applicable data protection laws. We do not sell your personal data to third parties. For questions about data handling, contact us at the address in Section 20.
16 Governing Law & Dispute Resolution
These Terms and any dispute arising out of or related to them or the Platform shall be governed by and construed in accordance with the laws of the State of North Carolina, United States, without regard to its conflict of law principles.
Before initiating any formal legal proceeding, you agree to contact Logitality in writing and attempt to resolve the dispute informally. We will use reasonable efforts to resolve the dispute within thirty (30) days of receiving written notice of your claim.
If the dispute is not resolved informally, you and Logitality agree to resolve it through final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, rather than in court. Arbitration shall take place in Mecklenburg County, North Carolina, or virtually if mutually agreed. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Either party may seek injunctive or other equitable relief in any court of competent jurisdiction in North Carolina to prevent irreparable harm pending resolution of a dispute, including to protect confidential information or intellectual property rights.
For any matters not subject to arbitration, you agree to the exclusive jurisdiction of the state and federal courts located in Mecklenburg County, North Carolina.
If you are accessing the Platform from India, you acknowledge that the Platform is not regulated by the Securities and Exchange Board of India (SEBI), the Reserve Bank of India (RBI), or any Indian trade regulatory authority. While these Terms are governed by North Carolina law, Indian users acknowledge that certain rights under applicable Indian consumer protection or data protection laws may apply and are not waived by these Terms.
If you are accessing the Platform from the European Union or United Kingdom, you may have additional rights under applicable data protection laws (including GDPR and UK GDPR). These Terms do not limit any rights you may have under those laws.
17 Assignment & Business Transfers
Logitality may assign or transfer these Terms, or any of its rights or obligations hereunder, without restriction and without your prior consent, including in connection with a merger, acquisition, sale of all or substantially all of its assets, corporate restructuring, or other business combination. In the event of such an assignment, the acquiring entity shall be bound by these Terms and you will be notified of the transfer as required by applicable law.
You may not assign, transfer, or sublicense any of your rights or obligations under these Terms without our prior written consent. Any attempted assignment in violation of this section shall be null and void.
18 General Provisions
These Terms, together with the Privacy Policy and any additional terms applicable to specific features, constitute the entire agreement between you and Logitality with respect to the Platform and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it enforceable.
Logitality's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorised representative of Logitality.
These Terms do not create any third-party beneficiary rights. No person or entity other than the parties to these Terms shall have any rights or remedies under or by reason of these Terms.
Logitality shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, war, terrorism, government action, pandemic, natural disaster, internet or telecommunications outages, or failures of third-party data providers.
19 Changes to These Terms
We reserve the right to update or modify these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page and, where reasonably practicable, provide notice through the Platform or via email to your registered address. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the revised Terms.
We encourage you to review these Terms periodically. If you do not agree to the updated Terms, you must stop using the Platform.
